These terms govern your use of the website eternallabs.ai and the services provided by Eternal Labs ("Eternal", "we"), operating from Mexico. By using this site or contracting our services, you accept these terms.

Our services

Eternal provides marketing services and an AI-assisted customer messaging platform for businesses. Customer messages and comments from a client's connected channels (such as WhatsApp, Facebook, Instagram, TikTok, email, and website chat) are displayed in a unified dashboard, where our software drafts suggested replies that the client's staff can review, edit, approve, or configure to send automatically.

Client accounts and authorization

• Services operate only on accounts and channels the client explicitly connects and authorizes through the applicable platform's official mechanisms.
• The client confirms it has the authority to connect each account it authorizes, and may revoke our access at any time through the platform or by notifying us.
• The client is responsible for the accuracy of the business information (such as prices, availability, and policies) it provides for use in replies, and for the replies it approves or configures to send automatically.

Acceptable use

• Our services may not be used to send spam or unsolicited bulk messages, to deceive or harm message recipients, or to violate any applicable law.
• Use of connected third-party platforms remains subject to those platforms' own terms and policies (for example, Meta and TikTok platform terms). We may suspend service where continued use would breach a platform's policies.

Third-party platforms

Our services interoperate with third-party platforms we do not control. We are not responsible for the availability, behavior, or policy decisions of those platforms, including changes to their APIs, review processes, or account actions they may take.

Fees

Fees, billing periods, and any trial arrangements are agreed with each client in the applicable service agreement or order. Unless otherwise agreed, fees are billed monthly in advance and are non-refundable once a service period has begun.

Intellectual property

The platform, website, and related materials are the property of Eternal Labs. Clients retain all rights to their own content, data, and customer relationships. Each party grants the other only the licenses needed to provide or receive the services.

Confidentiality and data

We treat client data in accordance with our Privacy Policy. Message content processed on behalf of a client is used only to provide the service to that client, is isolated per client, and is never sold.

Disclaimer and limitation of liability

The services are provided "as is". AI-generated draft replies may contain errors; the review and approval mechanisms exist precisely so that clients control what is sent. To the maximum extent permitted by law, Eternal's total liability for any claim related to the services is limited to the fees paid by the client for the three months preceding the claim, and we are not liable for indirect or consequential damages.

Termination

Either party may terminate the service relationship as set out in the applicable agreement, or with written notice. Upon termination we disconnect authorized accounts and, upon request, delete the client's data within a reasonable period, except where retention is required by law.

Changes to these terms

We may update these terms from time to time. Changes will be posted on this page with the date of last update; material changes affecting active clients will be notified directly.

Governing law

These terms are governed by the laws of Mexico. Any dispute will be resolved before the competent courts of Monterrey, Nuevo León, unless a service agreement states otherwise.
